Designating active members and enabling them to make decisions

Under the template operating agreement, the founder(s) will have the sole right, during an intial period (e.g., 3 months) to make decisions on behalf of the virtual company and to award ratings points to members (including themselves).

Once rating points have been awarded, those who have received ratings become "active members" (and remain so as long as they have received ratings within a specified period of time.

Only active members can vote on company decisions and award rating points to other members.

It is our hope and expectation that founders and active members will award rating points to other members in proportion to their judgment regarding the value of the contributions made by such members during the relevant period. (Active members may delegate to other active members the role of awarding the points they are entitled to award.

The online headquarters of any given virtual company will include an area designed to facilitate reporting on and evaluation of member contributions.

We hope the transparency of this process will help to reduce any efforts to game the system. If other active members award rating points in a manner that you find inappropriate, you can compensate for this by means of the decisions you make when awarding the points you are entitled to award.
